1. Acceptance
By submitting an Individual Partner application through the KeynoBite Vendor Onboarding Portal (vendoronboardingsystem.keynobite.com), you (“Applicant”, “you”) confirm that you have read, understood, and agree to be bound by these Terms & Conditions (“Terms”).
If you do not agree, do not submit an application.
These Terms apply to your application and, if approved, to your ongoing participation as an Individual Partner (agency head account for an individual operator) in the KeynoBite Partner Program.
2. Definitions

| Push | Master admin action that activates a merchant on the main KeynoBite platform (orders.keynobite.com) |
| Assessment | The mandatory knowledge-base review and examination required before you may onboard merchants |
| Identity Document | Your valid Emirates ID or passport submitted during application |
KeynoBite is not your employer, bank, PSP, or food delivery aggregator unless a separate written agreement explicitly states otherwise.
3. Eligibility — individual applicants
To apply as an Individual Partner you represent and warrant that:
3.1. You are at least 18 years of age and legally permitted to work and earn commissions in your stated country of residence.
3.2. You apply as a freelancer, sales professional, or full-time associate candidate seeking a commercial partnership with KeynoBite—not as an employee applying for payroll.
3.3. Your Identity Document and CV are genuine, belong to you, and accurately reflect your qualifications and experience.
3.4. All contact details and statements in your application—including your suitability statement—are truthful and complete.
3.5. You are not subject to sanctions or legal restrictions that would prevent lawful partnership with a UAE technology company.
3.6. If you require a UAE work visa or freelance permit to perform sales activities in the UAE, you are solely responsible for obtaining and maintaining it. KeynoBite does not sponsor visas through this program unless separately agreed in writing.
4. Application review
4.1. Submission does not guarantee approval. KeynoBite reviews applications in its sole discretion, typically within 1–2 business days.
4.2. We may request interviews, references, or additional documents.
4.3. We may approve, reject, or hold applications for further review without disclosing internal risk scoring.
4.4. If approved, you receive portal credentials, a referral code, and must complete the mandatory Assessment before onboarding merchants.
4.5. Until approved, you may not hold yourself out as an authorised KeynoBite partner.
5. Partner status — independent contractor
5.1. Individual Partners participate as independent contractors / commercial introducers. These Terms do not create an employment relationship, apprenticeship, or guaranteed income arrangement.
5.2. You are not entitled to employee benefits, paid leave, end-of-service gratuity, or payroll tax withholding from KeynoBite under this program.
5.3. You are responsible for your own income tax, social contributions, insurance, and equipment.
5.4. If KeynoBite later offers a separate employment contract, it will be in writing and will supersede the contractor relationship only to the extent specified.
5.5. You may not represent yourself as able to approve merchants, assign PSP credentials, or bind KeynoBite contractually.
6. Mandatory onboarding — assessment & knowledge base
6.1. Before referring merchants, you must complete the KeynoBite Agent Assessment (knowledge base + examination) and achieve the passing score configured in the portal.
6.2. KeynoBite may require re-assessment after policy updates or account review.
6.3. Access to merchant onboarding features remains blocked until assessment clearance is recorded on your account.
6.4. Assessment content covers product facts, conduct rules, commission basics, and prohibited behaviours—study materials are available in the portal knowledge base.
7. Referral rules & merchant conduct
7.1 What you must do
- Refer only genuine licensed food businesses
- Obtain clear merchant consent before submitting their data
- Submit accurate KYC information; help merchants complete the portal honestly
- Use your official referral URL (
/onboard?ref=…) for attribution - Protect your login credentials; never share your account
- Report fraud to onboarding@keynobite.com
- Respect merchant privacy and data minimisation principles
7.2 What you must not do
- Misrepresent KeynoBite as a PSP, bank, or high-commission aggregator
- Guarantee PSP approval, go-live dates, or earnings
- Submit fake merchants, duplicate leads, or non-consensual referrals
- Collect merchant payments or card data personally
- Use aggressive, deceptive, or unlawful sales tactics in field visits or social campaigns
- Impersonate KeynoBite staff
- Access other agencies’ applications
8. Commissions & earnings expectations
8.1. Commission structures (flat one-time, renewal, or percentage-based models) are configured by KeynoBite per plan and visible in the portal—not verbally promised during recruitment ads.
8.2. Commission accrues on push to the main platform, not on application submission or payment alone.
8.3. There is no guaranteed minimum income. Performance depends on your sales activity, merchant quality, and program rules.
8.4. Commissions may be withheld or reversed for ineligible referrals, policy breaches, or audit findings.
8.5. Only KeynoBite master admin marks commissions paid. You must supply valid payout/bank details when requested.
8.6. Recruitment advertisements (Facebook, Instagram, LinkedIn, etc.) that you run in your own name must be honest and comply with platform advertising policies and these Terms.
9. Identity verification & CV
9.1. You consent to KeynoBite verifying your Identity Document and professional background to the extent permitted by law.
9.2. Your CV is used for recruitment and ongoing quality review; false qualifications are grounds for termination.
9.3. KeynoBite may re-request identity verification if documents expire or risk signals appear.
9.4. Do not submit another person’s Identity Document or CV.
10. Suitability statement
10.1. Your written statement explaining why you are suitable to associate with KeynoBite forms part of your application and may be used in recruitment review.
10.2. You confirm it is your own work and accurately reflects your intent and capability.
10.3. KeynoBite may use anonymised excerpts for internal training; we will not publish your statement publicly without consent.
11. Data protection & confidentiality
11.1. You will handle merchant personal data only for onboarding support and in line with KeynoBite instructions.
11.2. Do not store merchant ID copies on personal phones or cloud accounts without adequate security and business justification.
11.3. You must notify KeynoBite within 24 hours if you suspect unauthorised access to your portal account.
11.4. Confidential KeynoBite business information learned through the program must not be disclosed to competitors or on public forums.
12. Marketing yourself as a partner
12.1. If approved, you may describe yourself as a KeynoBite Partner or Authorised Referral Partner only in accordance with brand guidelines.
12.2. Paid social ads must not use KeynoBite trademarks in a way that suggests official employment or guaranteed returns.
12.3. You remain responsible for ad content you create, including claims about commissions or restaurant savings—use only approved facts from the knowledge base.
13. Suspension & termination
KeynoBite may suspend or terminate your account for:
- False identity or CV information
- Assessment cheating or credential sharing
- Fraudulent referrals or consent violations
- Harassment of merchants or staff
- Long inactivity combined with compliance revalidation failure
- Any breach of these Terms
You may stop participating at any time by notifying onboarding@keynobite.com; accrued eligible commissions may still be processed subject to review.
Appeals: email onboarding@keynobite.com within 14 days with your application ID and explanation.
14. Limitation of liability
14.1. The program is provided as is within the limits of UAE law.
14.2. KeynoBite is not liable for lost commissions due to merchant withdrawal, PSP rejection, or your failure to complete assessment steps.
14.3. KeynoBite’s liability cap is the commissions paid to you in the prior six (6) months, unless mandatory law requires otherwise.
14.4. You indemnify KeynoBite against third-party claims caused by your unlawful conduct, false application data, or unauthorised representations.
15. Governing law & disputes
15.1. These Terms are governed by the laws of the United Arab Emirates.
15.2. UAE courts have exclusive jurisdiction, subject to mandatory protections in your home country if applicable.
15.3. Contact onboarding@keynobite.com first for good-faith resolution.
16. Changes to these Terms
16.1. Updated versions will be published with a new version date. Continued use after notice may require re-acceptance.
16.2. Your application stores terms_version and terms_accepted_at for audit purposes.
17. General
17.1. Severability, no waiver, no assignment without consent, entire agreement clauses apply as standard.
17.2. Related policies: Agent Knowledge Base conduct rules (§14), commission accrual on push (§18), and referral attribution rules apply supplementarily.
