1. Acceptance
By submitting a Corporate Partner application through the KeynoBite Vendor Onboarding Portal (vendoronboardingsystem.keynobite.com), you (“Applicant”, “you”, “your organisation”) confirm that you have read, understood, and agree to be bound by these Terms & Conditions (“Terms”).
If you do not agree, do not submit an application.
These Terms apply to your application and, if approved, to your ongoing participation as a Corporate Partner (head agency account) in the KeynoBite Partner Program.
2. Definitions

| Push | Master admin action that activates a merchant on the main KeynoBite platform (orders.keynobite.com) |
| Assessment | The mandatory knowledge-base review and examination required before you may onboard merchants |
KeynoBite is not a bank, payment service provider (PSP), food delivery aggregator, or employer of partners unless a separate written employment agreement exists.
3. Eligibility — corporate applicants
To apply as a Corporate Partner you represent and warrant that:
3.1. You are a validly registered business in your stated jurisdiction with an active trade licence (or equivalent commercial registration) suitable for the activities you describe.
3.2. The person submitting the application is authorised to bind the organisation and to provide the documents and information supplied.
3.3. All information in the application—including business name, contact details, trade licence, and company profile—is accurate, current, and complete.
3.4. Your organisation is not subject to sanctions, insolvency proceedings, or regulatory orders that would prevent lawful partnership with a UAE technology company.
3.5. You will maintain valid licensing and contact information for the duration of the partnership.
4. Application review
4.1. Submission of an application does not guarantee approval. KeynoBite reviews applications in its sole discretion, typically within 1–2 business days.
4.2. We may request additional information, clarification, or updated documents before making a decision.
4.3. We may approve, reject, or request resubmission without obligation to provide detailed internal reasoning, particularly where compliance or fraud concerns exist.
4.4. If approved, you will receive portal credentials, a unique agency referral code, and instructions to complete mandatory onboarding steps including the Assessment.
4.5. Until approved and activated, you may not represent yourself as an authorised KeynoBite partner in sales materials or to merchants.
5. Partner status — independent business relationship
5.1. Corporate Partners are independent contractors / commercial partners. Nothing in these Terms creates an employment relationship, partnership under UAE civil law (other than this commercial referral arrangement), joint venture, or agency relationship whereby you may bind KeynoBite.
5.2. You are responsible for your own taxes, visas, insurance, equipment, and staff costs unless otherwise agreed in writing.
5.3. You may not describe yourself as a KeynoBite “employee”, “official representative with binding authority”, or “authorised to approve merchants or PSP credentials” unless KeynoBite has given express written permission.
6. Mandatory onboarding — assessment & knowledge base
6.1. Before you may refer or onboard Referred Merchants through the portal, you must complete the KeynoBite Agent Assessment, including study of the partner knowledge base and a passing examination score as configured by KeynoBite.
6.2. KeynoBite may update assessment content, pass thresholds, or retake requirements. Continued access to referral features may depend on periodic re-certification.
6.3. Failure to complete or pass the Assessment will restrict your ability to onboard merchants even if your application was approved.
7. Referral rules & merchant conduct
7.1 What you must do
- Refer only genuine licensed food businesses with verifiable trade licences and legitimate operations
- Obtain merchant consent before submitting a referral or application on their behalf
- Ensure all merchant information and KYC documents submitted are accurate
- Use only approved Portal referral links (
/onboard?ref=…) for attribution - Keep portal credentials confidential; assign separate sub-agent accounts instead of sharing logins
- Report suspected fraud or misrepresentation to onboarding@keynobite.com
- Handle merchant data only for legitimate onboarding support purposes
7.2 What you must not do
- Misrepresent KeynoBite as a PSP, bank, or aggregator that charges marketplace commission on orders
- Promise guaranteed PSP approval, go-live dates, or specific commission amounts not reflected in portal configuration
- Coach merchants to submit false licences, fake premises evidence, or straw-man beneficial owners
- Collect subscription payments, card data, or KYC documents through personal channels without KeynoBite compliance written approval
- Access applications outside your agency scope
- Impersonate KeynoBite master admin or PSP staff
- Alter commission terms verbally—only portal-configured rules apply
- Engage in self-referral, duplicate referral manipulation, or concealed related-party schemes
8. Sub-agents
8.1. Head agency accounts may create sub-agent users subject to portal controls and KeynoBite approval policies.
8.2. You are responsible for the conduct of sub-agents acting under your agency, including compliance with these Terms and merchant-facing representations.
8.3. Sub-agent commission splits are configured in the portal; disputes between your organisation and sub-agents are your responsibility unless KeynoBite agrees to mediate in writing.
8.4. KeynoBite may suspend or remove sub-agents who breach policy without liability to you.
9. Commissions
9.1. Commission types may include, as configured per plan and agency rules:
- Flat one-time amounts per onboarded merchant
- Flat amounts on paid renewals
- Percentage-based estimates linked to transaction charges
9.2. Commission accrual is triggered when KeynoBite pushes the merchant to the main platform—not merely when subscription payment is received or KYC is approved.
9.3. Commission is not guaranteed for every referral. Ineligible referrals include duplicates, non-consensual leads, rejected merchants, fraudulent submissions, or referrals made while your account is suspended.
9.4. Only KeynoBite master admin may mark commissions as paid. Payout timing and method depend on finance processes and valid payout details on file.
9.5. KeynoBite may hold, adjust, claw back, or offset commissions where eligibility was based on inaccurate information, policy breach is discovered, or audit review requires it, to the extent permitted by applicable law.
9.6. Commission rules may change with notice through the portal or email; continued participation after notice constitutes acceptance unless you terminate in accordance with Section 14.
10. Brand & marketing
10.1. You must follow KeynoBite brand guidelines and approved messaging, including:
- KeynoBite charges 0% commission on food orders (PSP processing fees apply separately)
- KeynoBite is a restaurant operating platform, not a delivery marketplace
- Pricing and plan features must match current published plans
10.2. You may not use KeynoBite logos or trademarks in paid advertising without prior written approval.
10.3. You are responsible for ensuring your own Facebook, Instagram, LinkedIn, or other campaign content is lawful and not misleading.
11. Data protection & confidentiality
11.1. You will process merchant and applicant personal data only for legitimate onboarding and sales support, in compliance with applicable UAE data protection requirements and KeynoBite policies.
11.2. You must not download passports, Emirates IDs, or bank documents to personal devices without business need, and must delete sensitive copies after resolution of support tasks.
11.3. Portal access logs, referral metadata, and application content may be retained by KeynoBite for fraud prevention, audit, finance, and dispute resolution.
11.4. Confidential information about KeynoBite pricing, roadmaps, commission logic, or internal processes must not be disclosed to third parties without consent.
12. Document verification
12.1. You agree that KeynoBite may verify your trade licence, company profile, and application statements with third-party or government sources where lawful.
12.2. Providing false or misleading documents is grounds for immediate rejection or termination and may be reported to authorities where required.
12.3. Approved partners must notify KeynoBite of material changes to licence status, ownership, or business name within 14 days.
13. Suspension & termination
KeynoBite may suspend or terminate your partner account, with or without notice where reasonably necessary, including for:
- Suspected fraud or referral manipulation
- Breach of these Terms or conduct rules
- Document or identity discrepancies
- Failure to complete or pass required assessments
- Abusive behaviour toward KeynoBite staff or merchants
- Regulatory or business decision to modify the partner program
Upon termination:
- Referral links may be deactivated
- Unpaid commissions may be withheld pending review
- You must cease representing yourself as a KeynoBite partner
You may request an appeal by emailing onboarding@keynobite.com with your application reference and supporting evidence within 14 days of an adverse decision.
14. Limitation of liability
14.1. The Portal and partner program are provided “as is” to the extent permitted by law.
14.2. KeynoBite is not liable for indirect, consequential, or lost-profit damages arising from your participation, merchant rejections, PSP decisions, or commission delays.
14.3. KeynoBite’s aggregate liability arising from these Terms shall not exceed the commissions actually paid to you in the six (6) months preceding the claim, unless mandatory law requires otherwise.
14.4. You indemnify KeynoBite against claims arising from your misrepresentations, sub-agent conduct, unlawful marketing, or breach of merchant consent obligations.
15. Governing law & disputes
15.1. These Terms are governed by the laws of the United Arab Emirates.
15.2. The courts of the United Arab Emirates shall have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you in your home jurisdiction (if any).
15.3. Good-faith negotiation via onboarding@keynobite.com is encouraged before formal proceedings.
16. Changes to these Terms
16.1. KeynoBite may update these Terms by publishing a new version in the Portal or docs folder with an updated version date.
16.2. Material changes may require re-acceptance before you submit new applications or continue referral activity.
16.3. The version accepted at application time is stored with your application record (terms_version, terms_accepted_at).
17. General
17.1. If any provision is unenforceable, the remainder stays in effect.
17.2. Failure to enforce a provision is not a waiver.
17.3. You may not assign your partner account without KeynoBite written consent.
17.4. These Terms, together with portal commission rules and the Agent Knowledge Base conduct standards, constitute the entire agreement regarding Corporate Partner applications unless superseded by a signed commercial agreement.
